STATEMENT OF WORK & CONTRACT
This Agreement is made between More Belief ("More Belief") and The Client ("Client"). The Client is hiring More Belief to perform the services outlined below.
1. GRAPHIC RECORDING SERVICES
1.1 Pre-Event Preparation
More Belief will conduct one meeting to understand key messaging, industry background, organization history, sensitive content, facilitation methods, brand story, presentations (if available), and audience details.
More Belief will provide all necessary materials to create the artwork, including foam core, paper, markers, and artist easels. Supply costs are included in the invoice.
The Client agrees to provide any additional display easels for displaying work beyond this. These easels can be basic, such as those used for flip charts or conference signage.
1.2 Day of Event
More Belief requires 30 to 60 minutes for setup before the event.
The Graphic Recorder should be positioned at the front, in good lighting, near but not overshadowing the presenters. The recording should be easily visible to all participants without requiring them to turn significantly.
The event host should introduce the Graphic Recorder with the following recommended statement: "Graphic recording is being provided today by (artist's name) from More Belief. This illustration captures our conversation as a living document to visualize today's key ideas. Feel free to photograph and share these drawings during or after the event."
1.3 Post-Event Deliverables
The original graphic recordings remain with the Client at the event's conclusion.
More Belief will deliver digital files of each recording in both low-resolution and high-resolution formats within one business week.
1.4 Errors & Liability
Graphic recording is an art form, not a legal document. While errors may occur, they can be addressed during or after the event if necessary.
More Belief is not liable for any damages, including lost profits or savings, arising from errors in the recording.
2. MUTUAL COOPERATION
More Belief artists will make their best effort to meet or exceed expectations.
The Client agrees to provide timely information and feedback within 48 hours of each stage of delivery.
3. CHARGES & PAYMENT TERMS
3.1 Pricing & Scope
Services are project-based, with an invoice detailing projected costs.
Additional work outside the agreed scope will require written consent and an amended invoice.
3.2 Payment Schedule
A 50% upfront payment is required to begin work.
The remaining 50% is due upon completion.
3.3 Late Payments & Collections
Invoices have 30-day payment terms.
Late payments incur a 1% monthly fee on unpaid balances.
In the case of a longer contract with multiple payment periods, More Belief reserves the right to stop work until payment is received.
If legal action is required for collection, the Client agrees to cover legal fees and costs.
4. Cancellation Policy
The Client may modify, reject, or terminate work at any stage in progress.
A stop-work order must be delivered in written form by either party to cancel a project.
In the case of cancellation for any reason, the Client retains any completed work.
If more than half of the work is completed, More Belief requires 50% of the remaining balance.
The Client agrees to reimburse More Belief for any incurred costs or non-cancelable commitments.
More Belief will make reasonable efforts to minimize such costs.
5. COPYRIGHT USAGE & INTELLECTUAL PROPERTY
The Client guarantees that any provided text, images, or artwork are either owned by them or that they have permission to use them.
Upon final payment, usage of the deliverables will be assigned as follows:
The Client is granted a license to use these images on social media, email communication, newsletters, and internal print displays.
A separate agreement must be negotiated for commercial use of the images (marketing, merchandising, branding, or advertising).
More Belief retains rights to share and print non-branded elements of the recordings for promotional purposes only.
Any branded or identifying elements (e.g., logos, trademarks) remain the Client’s intellectual property.
Until final payment is received, More Belief retains full ownership of all work created. The Client may not use, modify, or distribute the deliverables until payment is complete.
6. CONFIDENTIALITY
More Belief will take reasonable efforts to maintain the confidentiality of proprietary or confidential information disclosed by the Client.
Confidentiality obligations shall survive termination of this Agreement for a period of one year.
7. TERM & TERMINATION
7.1 Agreement Duration & Notice
This Agreement remains in effect until terminated with at least 60 days' written notice from either party by email or printed form.
7.2 Termination for Cause
Either party may terminate if the other defaults on a material obligation and fails to resolve it within 30 days.
Immediate termination may occur if:
A party becomes insolvent or files for bankruptcy.
The Client fails to make payments as agreed.
7.3 Payment for Non-Cancelable Materials
The Client agrees to pay for any non-cancelable services or materials already purchased by More Belief on their behalf.
7.4 Unpaid Materials & Work Usage
If the Client has unpaid invoices at termination, they may not use any unfinished or unpaid work created by More Belief.
More Belief will transfer ownership of any Client-owned intellectual property only after all outstanding balances are settled.
GENERAL PROVISIONS
8.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, USA.
